These Terms & Conditions (“Terms”) are a legally binding agreement between you and Idasara governing your access to and use of Idasara Academy and related websites, mobile applications, AI-enabled learning features and AI agents, and any related services we provide (collectively, the “Service”).
By creating an Account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
If we provide Sinhala (or other language) translations, they are provided for convenience. The English version prevails to the extent permitted by law.
1) Definitions
Account: your registered profile used to access the Service.
AI Agents: AI-enabled assistants/tutors that generate outputs based on user inputs and available context.
Calendar Month / Month: A calendar month often refers to a period starting on a specific day of one month and ending on the corresponding day of the next month. For example, December 5 to January 4 constitutes one calendar month.
Billing Cycle: a Calendar Month/Month that starts on your Subscription start/renewal date and ends on the corresponding date in the next month. Example: a plan that starts on March 15 runs until April 14 (inclusive) and renews on April 15. If a corresponding day does not exist in the next month (e.g., starting on the 31st), the Billing Cycle ends on the last day of the next month, and renews the following day.
Content: materials we provide through the Service (including lessons, study plans, prompts, text, graphics, audio/video, and features).
Customer: the person or entity paying for a Subscription (including a School/Organization).
Fees: charges for paid plans, add-ons, upgrades, and applicable taxes.
Personal Data: as defined in our Privacy Policy and applicable law.
Privacy Policy: our Privacy Policy (as updated from time to time), incorporated by reference into these Terms.
Refund & Cancellation Policy: our Refund & Cancellation Policy (as updated from time to time), incorporated by reference into these Terms.
Scholarship: discounted or free access granted to eligible users under a scholarship/access program, including exam-based eligibility (e.g., Grade 5 Scholarship Exam, G.C.E. O/L, G.C.E. A/L, or similar criteria).
School/Organization: an entity (e.g., a school) that provides accounts to users as a tenant/admin customer.
Subscription: paid access to the Service (or features) for a Billing Cycle or other stated term disclosed at checkout.
User Content: anything you submit through the Service (including prompts, messages to AI Agents, uploads, and feedback).
You: the individual user, or the entity on whose behalf the user is acting.
2) About the Service
2.1 Educational support only
The Service is a supplementary learning tool. It is not an accredited educational institution and does not issue official academic certifications unless explicitly stated in writing by Idasara.
2.2 No promise of outcomes
We do not guarantee grades, exam passes, admissions, scholarships, jobs, revenue, or other outcomes. Outcomes depend on many factors outside the Service, including user effort, curriculum, school policies, and external conditions.
2.3 Service changes
We may update, modify, add, remove, or discontinue features, Content, or portions of the Service. We will use commercially reasonable efforts to reduce material disruption, but we do not guarantee that any feature or Content will always be available.
2.4 Availability, maintenance, and outages
The Service may be unavailable from time to time due to maintenance, updates, network conditions, third-party dependencies, or unforeseen events. We may perform planned maintenance with reasonable notice where feasible, and emergency maintenance without notice when necessary for security or stability.
3) Eligibility, Minors, and Account Security
3.1 Eligibility
You must be legally capable of entering a binding contract under applicable law.
3.2 Minors (under 18) — authorization and guardian responsibility
Users under 18 may use the Service only with authorization and ongoing supervision by a parent or legal guardian, or through a School/Organization acting within its lawful authority.
If you are a parent/legal guardian authorizing a minor’s use, you represent and warrant that:
you are the minor’s parent or legal guardian (or otherwise legally authorized to act for the minor);
you consent to the minor’s use of the Service and accept these Terms on the minor’s behalf; and
you will provide reasonable supervision and ensure the minor uses the Service in compliance with these Terms and applicable school/exam rules.
To the extent permitted by law, you are responsible for the minor’s activity on the Account, including Fees incurred (if applicable).
If we reasonably believe a minor is using the Service without required authorization, we may restrict or suspend access until authorization is verified.
3.3 Accurate registration
You agree to provide accurate information and keep it updated.
3.4 Account security
You are responsible for safeguarding credentials and for all activity under your Account. Notify us promptly of suspected unauthorized access.
3.5 School/Organization accounts
If your Account is created or managed by a School/Organization, that School/Organization may manage certain settings and access tenant-level insights as described in the Privacy Policy. The School/Organization may also impose additional rules or policies.
4) Acceptable Use
You agree to use the Service only for lawful purposes and in compliance with these Terms.
4.1 Prohibited conduct
You must not:
violate any law or regulation;
harass, bully, threaten, exploit, or harm others;
upload malware, attempt to disrupt the Service, or bypass security controls;
attempt to access another tenant’s data or defeat tenant isolation;
scrape, reverse engineer, decompile, or attempt to extract source code, models, prompts, system logic, or security mechanisms (except to the extent such restriction is prohibited by law);
infringe intellectual property or privacy rights;
use AI Agents to facilitate cheating or academic misconduct where prohibited by your school/exam rules;
impersonate others or misrepresent identity;
submit highly sensitive personal data (e.g., full payment card numbers, national ID numbers, detailed medical records) into free-text AI chats or uploads.
We may suspend, restrict, or terminate access for violations, and we may take additional action as permitted by law.
5) AI Agents and AI Features
5.1 Probabilistic outputs; verify before use
AI Agents may produce outputs that are incorrect, incomplete, misleading, or outdated. You must independently verify important information. AI outputs may reflect patterns in data and may contain errors, bias, or omissions.
5.2 Not professional advice
AI outputs and Content are for educational purposes only and are not financial, investment, legal, medical, or other professional advice. Do not use the Service as a substitute for qualified professional advice.
5.3 No high-stakes reliance
Do not rely on AI outputs as the sole basis for decisions with legal, financial, safety, medical, or other high-stakes consequences. You are responsible for how you use any output.
5.4 Academic integrity and prohibited uses
You are responsible for complying with school rules, exam rules, and academic integrity requirements. If AI assistance is prohibited for an assessment, do not use the Service for that assessment. You must not use the Service to generate or submit work as your own where prohibited.
5.5 Human-in-the-loop, safety, and misuse controls
We may use automated systems and limited human review to monitor, detect, and address misuse (including harassment, cheating facilitation, fraud, and security threats) consistent with the Privacy Policy. We may restrict or suspend Accounts where necessary for safety and integrity.
5.6 No guarantee of Content accuracy or syllabus alignment
We strive to provide helpful learning Content, but we do not guarantee that Content or AI outputs are error-free, complete, current, or aligned with any specific syllabus, marking scheme, or exam authority.
6) User Content
6.1 You own your User Content
You retain ownership of the User Content you submit, subject to the license you grant below.
6.2 License to operate the Service
You grant Idasara a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, and display User Content only to:
provide, maintain, and secure the Service;
personalize learning and generate outputs and insights you request;
improve reliability, safety, and functionality, including through aggregation or de-identification where feasible;
enforce these Terms and prevent misuse.
6.3 Your responsibility
You are responsible for ensuring User Content is lawful and does not violate third-party rights.
6.4 Feedback
If you provide feedback or suggestions, you grant Idasara the right to use it without restriction or compensation.
7) Fees, Billing, and Payments
7.1 Billing Cycle
Subscriptions are billed on a Billing Cycle (a Calendar Month/Month as defined in Section 1).
7.2 Payment timing
Fees are due and payable at the start of each Billing Cycle (your start/renewal date).
7.3 Renewal model
Plans may be manual-renewal or auto-renewing depending on what is disclosed at checkout. If auto-renewal applies, you authorize charges at the start of each Billing Cycle until cancellation.
7.4 Payment processing
Payments are processed by third parties (e.g., PayHere). We do not store full payment card details on our servers.
7.5 Taxes
Fees may exclude taxes unless stated. You are responsible for applicable taxes, duties, or levies except where we are required to collect them.
7.6 Non-payment
If payment fails or is overdue, we may suspend access, downgrade features, or terminate the Subscription after reasonable notice where feasible.
8) Cancellation
8.1 Effective at end of current Billing Cycle
If you cancel, the cancellation takes effect at the end of your then-current Billing Cycle. You will not be charged for the next Billing Cycle if you cancel before the renewal charge occurs.
8.2 Access through current paid period
You retain access until the end of the current paid Billing Cycle.
8.3 How to cancel
Cancel through account settings (if available), via your School/Organization administrator (if applicable), or by contacting support@idasara.org.
Additional cancellation details (including School/Organization and Scholarship upgrade cases) are set out in the Refund & Cancellation Policy, which is incorporated by reference.
9) Refunds
Refunds and remedies are governed by the Refund & Cancellation Policy, which is incorporated by reference.
9.1 Core rule (Billing Cycle generally non-refundable once charged)
Except for the narrow exceptions set out in the Refund & Cancellation Policy (including confirmed billing error, legally required refunds, or verified material Service failure that substantially prevented access), Fees for a Billing Cycle are non-refundable once charged, even if you stop using the Service during that Billing Cycle.
9.2 Billing errors and unauthorized payments
Billing error handling and unauthorized payment processes are set out in the Refund & Cancellation Policy. You agree to contact support promptly and provide reasonable information required to investigate the issue.
10) Scholarship Terms (Integrated)
10.1 Access benefit only (no cash)
Scholarships provide discounted/free access to the Service. There is no monthly cash fund, stipend, or cash payout.
10.2 Compliance
Scholarship users must comply with these Terms and the Privacy Policy. Scholarship access may be limited by features, usage caps, duration, seats, and eligibility requirements.
10.3 Non-transferable
Scholarships are personal to the approved Account and may not be sold, transferred, sublicensed, or shared.
10.4 No guarantee of scholarship continuation or outcomes
We do not guarantee that a Scholarship will continue for any duration unless explicitly stated in writing. We do not guarantee scholarship eligibility, renewal, selection, exam results, or outcomes.
10.5 Revocation
We may revoke or suspend Scholarship access for misuse, fraud, policy breach, cheating facilitation, harassment, or security threats. Where feasible, we will provide reasonable notice; in serious cases we may act immediately.
10.6 Program changes
Scholarship programs may change, pause, or discontinue, including eligibility and benefits. Where feasible, we will provide reasonable notice of material changes.
11) Intellectual Property
11.1 Our IP
The Service, Content, software, design, trademarks, and underlying technology are owned by Idasara or its licensors.
11.2 Limited license to you
Subject to these Terms, we grant you a limited, revocable, non-transferable, non-exclusive license to access and use the Service for personal, non-commercial learning (or internal educational use by an organization under its plan).
11.3 Restrictions
You may not copy, resell, distribute, or create derivative works from the Service or Content except as expressly permitted by Idasara in writing or as required by law.
12) Third-Party Services and Links
The Service may integrate with or link to third-party services. We are not responsible for third-party content, availability, or practices. Your use of third-party services is governed by their terms and policies.
13) Suspension and Termination
13.1 Our rights
We may suspend or terminate access if we reasonably believe you violated these Terms, engaged in fraud, created a security risk, caused harm, or where necessary to comply with law or protect the Service.
13.2 Effect of termination
Upon termination, your right to use the Service stops. We may retain or delete data as described in the Privacy Policy and as required or permitted by law.
13.3 Termination by you
You may stop using the Service at any time. If you have a paid Subscription, cancellation is handled under Section 8 and the Refund & Cancellation Policy.
13.4 Survival
Sections intended by their nature to survive termination survive, including Sections 5, 6, 11, 14, 15, 16, 18, and 19, and any payment obligations incurred before termination.
14) Warranties and Disclaimers
14.1 Commercially reasonable care; limited promises
We use commercially reasonable care in providing the Service. However, except as expressly stated in these Terms, we do not make specific promises about the Service.
14.2 As-is / as-available
To the maximum extent permitted by law, the Service and all Content (including AI Agent outputs) are provided “as is” and “as available.” We do not promise that the Service will be uninterrupted, error-free, timely, or that AI outputs will be accurate or complete.
14.3 No implied warranties
To the maximum extent permitted by law, we disclaim warranties and conditions, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, title, non-infringement, and warranties arising from course of dealing or usage of trade.
14.4 Non-excludable rights
Nothing in these Terms excludes warranties, consumer guarantees, or rights that cannot be excluded under applicable law.
15) Limitation of Liability
15.1 Excluded damages
To the maximum extent permitted by law, Idasara is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, or data.
15.2 Liability cap
To the maximum extent permitted by law, Idasara’s total aggregate liability arising out of or related to the Service will not exceed the total Fees paid by you (or the Customer on your behalf) for the Service in the 12 months preceding the event giving rise to the claim.
15.3 Carve-outs
The exclusions and cap in this Section do not apply to liability that cannot be limited under applicable law, including fraud, willful misconduct, or gross negligence, and other non-excludable statutory liabilities.
16) Indemnity
To the extent permitted by law, you agree to indemnify and hold harmless Idasara, its directors, officers, employees, and partners from claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of:
your misuse of the Service;
your User Content; or
your violation of these Terms, applicable law, or third-party rights.
This indemnity does not apply to the extent a claim is caused by Idasara’s fraud, willful misconduct, or gross negligence.
17) Notices and Communications
We may send notices electronically (email, in-app messages, postings). You agree that electronic communications satisfy legal notice requirements where allowed.
18) Governing Law, Complaints Handling, and Dispute Resolution
18.1 Governing law
These Terms are governed by the laws of Sri Lanka, excluding conflict-of-law rules.
18.2 Complaints and informal resolution
Before filing a legal claim (where permitted by law), you agree to contact support@idasara.org and allow a reasonable opportunity to resolve the matter.
18.3 Jurisdiction
Disputes are subject to the jurisdiction of the courts of Sri Lanka, unless mandatory law requires otherwise.
19) Miscellaneous
Severability: if any part is unenforceable, the rest remains in effect.
No waiver: failure to enforce a provision is not a waiver.
Assignment: you may not assign these Terms without our consent; we may assign to an affiliate or successor.
Force majeure: we are not liable for delays or failures beyond reasonable control.
Entire agreement: these Terms, together with the Privacy Policy and Refund & Cancellation Policy, form the entire agreement regarding the Service and supersede prior agreements on that subject.
